the only reason it had to be 8k'd is the fact that it is being called a financing arrangement....otherwise it could have just been put in the next 10q filing..

the filing just deals with the fact that shares were sold and warrants issued...the filing is just dealing with the mechanics of that..

its the fact that kim is calling it "financing" and a "bridge loan" that makes it a material event..and changes the dynamics of it from a mere investment to "financing"...

and when financing is involved, the financial institution is allowed to examine the books of a company and know far more info than a mere investor would..

like I said...its a stretch...but not worth anyone's effort in the otc..
