For each 200 shares of Proxity held by a Proxity stockholder on the record date, Proxity will grant a dividend equal to one share of common stock of Cyber Defense. Proxity intends to distribute a dividend of approximately 2,000,000 shares of Cyber Defense to its holders. We have agreed to register such shares under the Securities Act of 1933, as amended".
