That's a good catch.

If they were planning on selling all 150 million shares at $.05 a share, that would put them easily into Tier 1 at $7,500,000. They would still be OK in Tier 1 up to $.1333 a share if they were to sell all 150 million shares.

Pehaps they're playing it safe in case the share price should rise a bit.
