On April 3, 2018, we entered into a Share Exchange Agreement with Crypto Partners, Inc. (“Crypto Partners”), a
California corporation, and the sole shareholder of Crypto Partners to acquire all of the outstanding shares of Crypto
Partners in exchange for 5,000,000 shares of our common stock. Ronald J. Miller is the sole shareholder of Crypto
Partners and will receive all of the shares under the Share Exchange Agreement.
Crypto Partners is a cryptocurrency mining company which utilizes solar energy to keep huge electric power
demand from cryptocurrency mining production at a low cost. Crypto Partners has established 2 cryptocurrency
farms to conduct production, utilizing over 20,000 square feet of space and has procured video card technology,
proprietary mining software and required ancillary computer hardware
