The company will issue shares of Series C Preferred Shares, with a stated value of $5.00 per share,in exchange for the assets. The company will also assume the liabilities that are associated with the assets. The transaction is expected to be completed by June 30, 2019.

When the transaction is completed the company intends to have a broker dealer initiate trading .....
