If you read through the 1-A filing, it clearly states 38m shares is the new offering by ARSN to merging party (YIC) and the current O/S will then be at 98m + new 38m offering. There is so much detailed information in this document (if you haven't read than you should) that makes one think that this merger will happen eventually but don't know exactly when. It also gives detail on how the new corporation would be structured as from management perspective.

Again, just hoping and waiting the merger to get completed soon :)
