Where in HERA is them recapitalizing the companies via a private placement disallowed?

Genuinely curious, I thought that the FNMA as the conservator had full leeway to do this and had no need to consult with shareholders.

Sure, if they grossly screw shareholders over it may result in some lawsuits, but as we have seen by the past decade of lawsuits, they can, at the very least, not go as expected and certainly take excessive amounts of time to bring to resolution.
