It didn't pass which is why Ted is waiting until the last minute to release the 8K stating such. If the 8k isn't released today, which is the 4th business day, the SEC will suspend trading. Look for the 8k to come out later after hours.

The RS was Ted's only hope. They have no more shares to dilute, therefore they can't sustain operations.
