The late filing of the S-1 does not nullify the ARJ deal, but it does result in penalty payments until filed. It is possible, though, that Garnock is aware of the reasons for the delay and perhaps he is fine with it and will waive the penalties.

IR has repeatedly said that this S-1 is coming so we just need to hang in there until they get it all squared away.
