1) Personal bankruptcy of Benoit Laliberte, UAMA President, CEO and CFO.
2) Bankruptcy filing of Navigata-Westel, largest telecom operating subsidiary in 2016.
3) Receivership of Investel Capital Corp in 2017.
4) Criminal convictions of Benoit Laliberte in 2008 and 2009.

The moderators of this Board should prove that these material facts were disclosed to the SEC on a timely basis.
