SEC reporting firms that are delinquent with a stop sign, are not allowed by law to convert debt to shares and let them be sold day by day in the typical toxic MM games we see on most OTC stocks. Not sure how the mechanics work, but it may be the transfer agent that is legally blocked from issuing shares while they SEC deliquent.

Non SEC reporting firms and Toxic sign firms seem to play by some different rules (some are illegal).

I know one stock I own shares in, any one with paper shares has not been able to sell since 2011, as the company legally went dark-non reporting in Dec 2010. It still trades as two persons, one the sole director and one an ex director Duke it out multiple court battles since 2013 over control of what could have been a 100 Mil dollar firm turning waste into cattle feed with a 99% profit margin. Greed ruins many great companies and tech....
