63. Upon information and belief, MacGregor is an officer, director and directly or through his ownership of LDSI, the principal shareholder of Intellitech, Pty. Ltd.


64. Upon information and belief, MacGregor functioning as a Director of Vastech UK,together with others, caused the transfer of Vastech UK's patent technology and rights from Vastech UK to Intellitech, Pty. Ltd.

65. Upon information and belief, Defendants MacGregor and Katz used a portion of the proceeds of the sale of the Sprung Stock portfolio to create and fund trusts on behalf of their children, including without limitation The Noah Morgan Private Family Trust, a purported spendthrift trust.


Illegally moved with others the Vastech motor technology to Intellitech an then cut some deal with Gill for the public play with the LDSI shell.


Then went and funded the movie Buffaloed and the upcoming "Thief" and "Spread the Word" (how appropriate those names) with the money he robbed from Sprung ($5,000,000.00)
