This paragraph explains why:

Digital Brand does not dispute that its only attempt to cure the missing quarterly and annual reports was through a "Super" 10-K, which the Commission has squarely held is insufficient ... Digital Brand's Super 10-K did contain material deficiencies. It does not state a conclusion regarding the effectiveness of the company's internal controls over financial reporting ("ICFR").



Maybe that explains why filing a material sufficient super 10K took so long.
