Can't IPO a public company so that whole theory is irrelevant. Two ways for a public company to raise capital, debt or equity. A class preferreds are typically the first and they secure voting and ownership. If they are looking to do an equity offering they will likely issue C's to do that.

Here's my thinking. All 3 of the current owners have major assets outside of Woodbrook. What I would look to do is bring in assets from all three in proportion to the amount of ownership. The valuation of the stock goes much higher as a result. THEN you S1 a C class offering or use C's to acquire with some commons issued to managing executives.

By increasing the value first you give up a much smaller percentage of the company.

Does this make sense? In theory.
