Control block, they need to ensure they have enough voting power to maintain control, frankly they are very modest with the conversion which shows me they don't think they will need to increase the O/S that much as they feel 600M shares will be enough to maintain control.

These share will never convert based on that very reason, if they convert and sell those shares they potentially go below 50% ownership level losing control of the company.
