Dilute shareholder value? Stave off a hostile bid?
IMO, The best defense against a hostile bid is a HIGH price, where price EXCEEDS perceived value. Let's get real, companies buyout companies everyday with Market Caps 20X psti's, sometimes without even touching CASH...
PLEASE distill the 'brilliance' of which you think may be behind these decisions
My suspicion and my strong opinion, and I think it is well-founded based on the historical management of shareholder value from this legacy ceo/cfo and 'new' co-ceo leadership team, is that there was INDEED a mis-step, based on Overconfidence & Inexperience.
It appears to me that management placed its 'bets' on positive, material data/announcements to fall within the last quarter(s) to propel the SP, to then issue these shares and warrants at a SIGNIFICANTLY higher SP, to raise needed capital through to approval and revenue. IMHO.
Unfortunately, CEO's & CFO's carry the 'accountability' for such misplaced 'bets', and the House is collecting.
