To be in full compliance regarding disclosure, I have renewed my contract for six (6) months from Feb 1, 2001 to July 31, 2001 to assist in email updates, dissemenation of investor information, shareholder liason, and internet awareness of Saratoga International Holdings Corp, ticker STGA, and Magellan Filmed Entertainment Inc, ticker MFLE. I have been compensated for representing the two companies during this period with 125,000 shares of 1 year restricted stock for each company and $1000 per month per company for 6 months. My total (from Nov 1 start of contract) restricted share compensation after both STGA R/S is 2,500 shares, plus 7500 shares of the spin off Saratoga Telecom and MFLM is 56,250 after the 1 to 4 reverse on 5/29.

To be in full disclosure and due to possible conflict of issue considerations, I have liquidated my personal holdings of these stocks in October, 2000 prior to the start of my original contract and do not plan on purchasing another position on the open market while I am under a contract.
