ABSOLUTE BOGUS EXPLANATION! BULLSHIT! A confident PR would have stated that the stock will qualify for a US stock exchange, as that would also be "under safe harbor". So, the fact that Kisa chose to be negative about the chances of qualifying speaks volumes here. This whole exercise on the OTC was a PR stunt by the company to try and drum up local business. It's backfiring.

The reason why Kisa said this stock may never qualify for any US stock exchange is because it's a Safe Harbor statement.
