Nevada corporate statues require shareholder approval for the following statues by the officers/directors of a company incorporated in the State of Nevada:
1. Amending the corporation's articles of incorporation.
2. Elections of directors.
3. Removal of a director.
4. Merger, conversion or exchange
5. The sale of all of the company's property and assets.
6. Dissolution of the corporation.
Would someone tell me why the officer/directors of Medinah, Inc are not obligated to follow these statues as required by the State of Nevada? I have a copy of the constitution and by-laws and I cannot find any provision allowing for the officer/directors to circumvent these required statues.
