Oasis Capital, the Accredited Institutional Investor, previously committed up to $12 Million in an Equity Line, out of which, $1.4 Million dollars was registered in an S-1 Filing.

As a result of this transaction, they were given 311,250 Pref D-1 Stock (Worthwhile to note - None of which was ever converted)

Today they exchanged 284,125 of the 311,250 of the Preferred D-1s into 346,425 of Preferred D-2 Stock AND committed to purchase additional D-2 Stock in for up to $500,000 consideration

This in my view goes to show that, very likely, Institutional Money is headed our way pursuant to the S-1 Registration of up to $12 Million purchase of RETC Stock.


This means that in my view, this $500K+ and Additional moneys could be used to:


1) Buyback Shares - Reduce OS and Increase EPS - Because currently company is Cash Flow Positive and Most likely Profitable


2) Provide Seed Capital to finalize previous Major Acquisitions that require con-commitant capital pre-requisites. Such as:

Acquisition of J Peterman which needs Up To a $3 million investment capital prior closing & yields company new + $20 Million in Revenue.
