It says that the company cannot do a RS unless Garnick agrees to it with 2 caveats:

1. Garnick cannot unreasonably withhold approval, and
2. The company doesn't need approval if they RS to uplist.

Basically, they are not going to RS to make their shares structure better because they know it hurts shareholders. However, they expect the price to get into a range where they may need to do a small RS to get the price up to move to a real exchange.
