But it didn't say THE SHARES ARE worthless , they would have mentioned it by now in 8K before POR!!.

No. Can you spell "illegal". You will NEVER see an 8k, or any other SEC form for that matter, tell you the value of a particular stock. The company has laid out the situation...its up to the individual shareholder to sort out what that information indicates.
