Merger was never finalized, a PR stated that they were going to merge is a lot different then a finalized version which requires some sort of form like a S-4. PR's are not bound to any legal complications, which if you notice at the bottom of most PR's, it pretty much says just that. Obviously this wasn't a pump and dump as we now have proof of that. Even if it was Waldron who called it off, it still verifies that it never became final. Bishop was the first to let us know the merger was off to shareholders, hence the drop from .003 to .001. Nothing changed except for more he said she said battles.
