My understanding is that they (Orie) are trying to reduce the number of shareholders to less than 500 and do a 10-to-1 R/S (most likely to get rid of some of the share holders) to enable a potential acquisition.

Not sure what the acquisition has to do with number of shareholders or the pps. That’s what I am missing.

Usually, acquisitions are based on company value - not on number of shareholders or shares.

So, I’ll continue to look for answers and learn.
