It was the merger of the Landstar shell from Nevada with the Landstar Shell of North Carolina that didn't happen. The Nevada corporation had the stock, the North Carolina corporation had recently been formed to receive the Nevada corporation in the merger. Jason wanted a North Carolina corporation with stock already publicly traded. It's all in those disclosures, but they will have to be read.
