I think I understand now after reading it over a few times....

They are eliminating 400M shares of non-outstanding voting shares, increasing the AS by 500M shares, and potentially issuing/selling 177+M shares to be used for employees and operations...? Something definitely smells strange with this BS activity. That still leaves them with over 300 Million shares to "play" with. I will continue to stay far away from this!
