On November 2, 2018, the Company received a written consent in lieu of a meeting in accordance with the New York Business Corporations Act by the holders of 51% of the voting power of the Common Stock authorizing the following actions:

approval of the change of the Company’s name to “Dais Corporation” (the “Name Change”); and


approval of increasing the number of shares of Common Stock the Company is authorized to issue from 240,000,000 to 340,000,000 as provided for herein (the “Increase in Authorized Shares”).



Accordingly, your consent is not required and is not being solicited.



We will commence mailing the notice to the holders of Common Stock and preferred stock on or about November 30, 2018.
