That number comes from

The following calculation

109M sales outstanding and $5.2B sale of assets

5200000000 / 109000000 = $47.70

So the math is right but its the wrong calculation.

The correct calculation is

(5200000000 - 11000000000 ) / 109000000 = - $53.21 (negative)

Which is the $5.2B SHLDQ got from the sale of its assets (its already done so its not a buyout that is coming and its not a buyout anyway its a sale of assets). Minus the $11B in debt that SHLDQ has. There may (and that is all speculative) be NOL's that have value but not enough to turn the value of a share to a positive amount.

To address some other points in posts. SHLDQ was not taken private, its not being bought out and isn't being taken private (at least nothing indicates it will be and there would be no point in doing so). Transform Holdco is private and it owns all the valuable assets now as it purchased them last week for the $5.2B mentioned above.

Lots of people on here are getting terms and companies all mixed up. Hopefully this clarifies some of that.
