It is an Affiliate of the ESL Hedge Fund and
is named as the “ Buyer “ in the APA so why
would it not be Holdco’s Securities?

The name change of Transform Holdco, LLC
to Sears......? will happen after the CLOSING DATE
of the Sale - which is expected this month.

Right now ESL does not own the Sears name
and that is why it is temporarily using
Transform Holdco, LLC as the Buyer.
