No, they don't, really. Doherty's made a number of mistakes. For example, he didn't have to lower the a/s to begin with. If he hadn't, people wouldn't have known in advance that he was planning a reverse split, unless they ordered the amendment containing the board resolution to do one from Nevada.

The split would probably only have become known to shareholders the day before it became effective. And now, he wouldn't have had to raise the a/s, so no one would know he was planning to start offering stock.
