I know what you mean. It doesn’t make
sense to me either since I think it could affect
the value of the NOLs.

Will exchanging the SHLDQ shares for
Holdco shares - 1:1 - preserve the NOLS?
Or is that considered an ownership change
because of the different Company name?

I didn’t read anything written about the NOLs
in the APA. Were the NOLS one of the Assets
Holdco purchased? I can’t tell.
