OK - I understand that the Bankruptcy
Proceedings will continue for some time
after the Sale - if approved.

What I am wondering about is if the POR
can in no way cancel or alter the APA once
it is approved, then will it simply state for the Classes
of Creditors and Shareholders “ pursuant or in
accordance with the APA “?

It looks to me like the APA will take Sears
Holdings out of Bankruptcy as a Subsidiary of
Transform Holdco and leave the current Share
Structure as is - SHLD.
