Summary: The Defendants breached their contract with and intentionally defrauded Nodify, Inc., a struggling NY technology startup. They presented Nodify to third parties, secured funds from those parties based on claimed business with Nodify, then diverted the funds provided for Nodify to Defendants business and personal use. Defendant Kristan appears to exclusively control Defendant Unitiv, and after misleading Nodify about the status of the funding, Defendants arranged for Mr. Kristan to personally use the Nodify funds. In addition to seeking recovery of its actual damages which exceed $230,000, Nodify seeks an exemplary award of $5million to dissuade others from engaging in misconduct, and a punitive award of $5million to specifically punish these two Defendants.
