1. Transaction
1. Provide details of the transaction including the date, description and location
of assets, if applicable, parties to and type of agreement (eg: sale, option,
license, contract for Investor Relations Activities etc.) and relationship to the
Issuer. The disclosure should be sufficiently complete to enable a reader to
appreciate the significance of the transaction without reference to any other
material:
The Issuer completed non-convertible, unsecured debentures with Power Up
Lending Group totalling $90,000 US ($119,672 CDN) bearing an interest rate of
twelve precent (12%) per annum, compounded daily, with a twelve month term
and with Crown Bridge Partners totalling $32,500 US ($43,215 CDN) and
$52,000 US ($69,144 CDN) bearing interest at a rate of ten percent (10%) per
annum, compounded daily, with a twelve month term, and with TFK
Investments LLC totalling $102,500 US ($136,293 CDN) bearing an interest rate
of ten percent (10%) per annum, compounded daily, with a twelve month term.
