Instead of typical toxic dilution it looks like they want to offer 1B shares of common stock at .001 per the REG 1-A filed.

They would need to get the pps up big time to make that look attractive considering it's at. 0007-.0008 right now.

The real problem is managment is enept. They stopped posting on FB and tweeting and haven't put out news since last year! They need to communicate with shareholders and let them know what is going on and what the plan is to turn things around. Issuing more shares isnt the answer.
