Except basing the conversion price on the lowest “trading price” over the previous 20 days IS TOXIC. That is about as low a bar as one can have. A “typical” conversion basis is an average of multiple trades, closing prices or daily VWAP’s over a previous 5-10 day period. All it requires is for ONE trade to occur at an unusually low price relative to the average trading price over the the 20 days to get them another 20-30% “discount” relative to a typical conversion basis.

I have seen a lot of toxic funders moving in this direction.

Make no mistake. This note is toxic.
