Why on earth would it go up if news is pending? Not sure what your point is.

We don't know what the news will bring. We don't know what financials will bring. Assuming the $1M/month order is happening, investors might be discouraged that company is only receiving 10% of that. We don't know how market will reaction to M&A? Maybe people will want to sell if not happy with Purchase & Sale structure of the M&A. And without knowing day after day, people may want to sell.
