I read the document and am long here for the following reasons but it is with extreme risk.

1. The market cap for an internet play is not too bad at $13,000,000 today.

2. My read into the filing and just my personal opinion, is that they believe they will get current share price above .10 per share before executing the 40:1 reverse split. I also believe a 100:1 reverse will not leave enough shares for a liquid market for the securities.

3. I believe especailly Thakker, Esposito and Herring are extremely motivated to make this worth something. Between just 3 people they own 1/2 of all shares. Their reward could be huge.

4. They need to get some capital in the doors now, or none of this will work. It looks like they owe some money, and have hardly any. They have no credit line, no bank, nothing in the filing except maybe a hedge fund they owe money to. Without a little runway, there is no chance for any of us, that is why it is a 2 cent stock.


My analysis tells me, and I do understand this space, that a $100,000,000 valuation long term (2 years out) should not be hard to obtain, if they can get any kind of traction. .10 -.20 per share pre- reverse split.
