I can think of couple reasons to delay RS.

1) Garvin may just be too darn busy trying to get things organized and running smoothly. There must be so many things on his plate right now. And who knows how much help he is getting?

2) He and or the board may want to delay the RS until they first try to increase their stock price with some news articles or other PR activities. This would reduce the embarrassment caused by doing an RS and then finding a stock that is trading around $1-$2. That would be far below their goal of getting a listing on NASDAQ.

Just a couple of reasons for delaying an RS that popped into my head. -lol
