Risks Associated with Brand Development
TargetCo believes that continuing to strengthen its brand is critical to achieving widespread acceptance of the
Resulting Issuer, particularly in light of the competitive nature of the Resulting Issuer’s market. Promoting and
positioning its brand will depend largely on the success of the Resulting Issuer’s marketing efforts and the ability of
the Resulting Issuer to provide high quality services. In order to promote its brand, the Resulting Issuer will need to
increase its marketing budget and otherwise increase its financial commitment to creating and maintaining brand
loyalty among users. There can be no assurance that brand promotion activities will yield increased revenues or that
any such revenues would offset the expenses incurred by the Resulting Issuer in building its brand. If the Resulting
Issuer fails to promote and maintain its brand or incurs substantial expenses in an attempt to promote and maintain
its brand or if the Resulting Issuer’s existing or future strategic relationships fail to promote the Resulting Issuer’s
brand or increase brand awareness, the Resulting Issuer’s business, results of operations and financial condition
would be materially adversely affected.
