Well...Rufus has said a great deal tonight that wasn't particularly credible, so we needn't necessarily believe that the "ratter" was really an officer.

That said, it's certainly possible that Benson saw the red flags and called his buddy Horton. Horton got cold feet and refused to sign as CFO, and one or both of them went to the SEC.
