Groups often pay a premium for a placement because they can control the use of the money used to purchase the placement. For example This money is to "The proceeds of this Offering will be used exclusively for generative exploration activities on McEwen’s properties in the Timmins region."
There are other reasons for paying a premium. Get shares in one large block without running the volume and share price up. Buying at a premium is not that unusual. I have seen it many times.
