As part of the deal $TGGI will have to return a significant portion of its shares of $BDCI.

When the exchange is concluded $TGGI will own 100% of the device(s), but little to no ownership of $BDCI stock. $TGGI would finish development of the device, and file all the patents under its own name.
Probably most importantly, $TGGI will have its own products and revenue streams.
