Read the agreements. NEOM guaranteed a share price to the acquired companies. And its not the same for each one.

As to the one year that is governed by the SEC. Any stock issued becomes sellable in 1 year, even if the registration statement isnt filed yet. Until then its restricted if there is no registration statement.
