Here are links to the S-8, and the associated S-8/POS; an amendment to the original S-8. Both of these were filed several months ago. You may have to sign up at secinfo.com to read the data..:

The aggregate registration of 5.3MM shares is obviously being used to give new management a reason to bust hump and make a "go" of AVHC, in lieu of ridiculous salaries. I would also [resume that some shares will be used to the cover expenses of any typical new business.

Considering the total O/S count of 16MM shares, the situation certainly doesn't give me any heartburn. But, there it is for everyone to see.
