THIS IS REGARDING ACREAGE HOLDINGS ISSUANCE OF SHARES AT $0.05, $006, $0.43, $0.47, $4.83, $6.70 as shown on page 100 of the Listing Statement.

Yesterday, the Admins of this group reached out to our Investors Relation contact for an explanation and clarification on this. This morning we received a reply. The following is in my own words and I have expanded on the content of IR’s reply.

As has been posted in this group several times, Acreage Holdings Inc. moved to “Go Public” via the “Reverse Takeover” (RTO) process. The process was done by taking over “Applied Inventions Management Corp” (AIMC) which was a “Shell” company, meaning it was an inactive company that was kept dormant for future use in some other capacity or for various financial maneuvers. In this case AIMC became the financial vehicle involved in the RTO process.

The above mentioned shares were issued to “BUY” the Shell company as part of the process for Acreage Holdings Inc to do the Reverse Takeover and turn the Shell into an active company which now has the legal name “Acreage Finco B.C. Ltd.” and is now wholly owned by Acreage Holdings Inc. It is through this process that Acreage Holdings is now able to be listed publicly on the CSE in Canada.

IR was kind enough to provide us a couple of photo’s of the actual pages from the Listing Statement that refers to what I have explained above.

The listing Statement is readily available on Sedar but for everyone’s convenience I have made it a PDF file to post here.

Based on the reply we received from IR, this was not a case of “sweatheart deals” for insiders contrary to the false assumptions and conclusions made by some people.

NOTE: We have also been informed by IR that they have contacted Midas Letter to clarify this for them and are expecting Midas a Letter to explain it as well.
