what is focus points share structure i can't find it any where maybe we get lucky and get 5 cents for this dog



Reverse split: I don't know if there will be a reverse split or not. It could depend to a large extent on what the initial share structure of the RM looks like. That can have a big effect on overall dilution and the general fundamental attractiveness of a reverse merger.

As a very general rule of thumb for reverse mergers, I use a 90/10 ratio when I analyze shells for potential investment (legacy shareholders retain 10% of the completed RM). As I mentioned in a previous post, the Welch family (as of the last filing) owned 90+% of the BLLZ shares. The best-case scenario would be if they sold all/most of their shares to the incoming RM target, and the reverse merger gets officially completed with that structure. If they kept all/most of their shares, then BLLZ obviously becomes less attractive from a fundamental prospective.

When you are dealing with the reverse merger market, just about anything and everything could/might happen. As an investor who likes to play shell/RM plays, I wish I could just take a cookie-cutter approach to every situation and have it work out perfectly every single time. But that is not how real-life works in the RM market. Some of the "worst" looking shells (huge debt, bloated share structures, etc, etc) can turn into the best investments, and sometimes the most fundamentally attractive "cant-miss" shells can turn into absolute disasters.

Focus Point share structure: Focus Point has 165 million shares outstanding, and does around $40 million in annual revenue. You can find the structure on most of the major stock exchange financial sites, or in the Focus Point annual report......
