"my company been in business 42 yrs and never had a audit"

Not picking on you, but my company never required an audit either, but when I sold my company I encouraged the buyer to pick a firm of their choice to perform a thorough audit at shared expense (it wasn't expensive but the buyer needed to show enough interest, and I also wanted a clean 3rd party look in case the deal fell thru, so then I would have a 'fresh' perspective too).

Anyway, the audit WAS NECESSARY in my mind because I was SELLLING something, and I wanted all parties to have confidence in the process. I think if I was running ANY legitimate company with public shareholders I'd pay the relatively small sum for an audit. Why wouldn't you? Especially if your business is SO STRONG and GROWING SO RAPIDLY and etc etc.

Anyway, I thought I'd left the 'audit' thing behind, cuz I don't care about it anymore, but since you brought it up I'll just say it:

Something smells.
