spinoff may have more problems

apparently all those toxic notes that USMJ has (some in serious default) could prevent a spinoff.

USMJ has purposely avoided creating enough share authorization to allow conversion, so they now may need to reverse split of raise the share authorization from 20 billion to 40 or 50 billion shares.

It doesn't help that USMJ is also required to pay a 3rd party 51% of any money USMJ ever makes.
