Nope, not an acquisition, it's merely an "LOI". It's merely an "intent" to acquire future tense.
So many of these things fall by the wayside. As with past LOIs, give this time...a lot of time.

Right now, this is just "This is a real letter of intent" rather than "This is a real acquistion..."
